1. Provider
Quantum Iryx Systems is the publisher and provider of the Cassian product family (“Cassian”). These Terms of Use (“Terms”) apply to Cassian offers acquired through Microsoft Azure Marketplace (“Marketplace”) unless a separate written agreement between Quantum Iryx Systems and the customer (“Customer”) applies.
2. Additional Applicable Terms
Microsoft Azure Marketplace terms, billing rules, procurement terms, tax handling, account terms, and Azure platform terms may also apply to a Customer’s use of Cassian acquired through the Marketplace. Customer is responsible for reviewing and complying with those terms.
3. License Grant
Subject to these Terms and payment of applicable fees, Quantum Iryx Systems grants Customer a limited, non-exclusive, non-transferable, and (where permitted) revocable right to use Cassian solely in accordance with the purchased Marketplace plan, the applicable documentation, the Marketplace order, and any applicable agreement.
4. Customer Responsibilities
- Provision and maintain the Azure tenant and any required subscriptions.
- Provision and maintain the Azure Kubernetes Service (AKS) cluster or other deployment target.
- Configure identity, networking, storage, database, backup, certificate management, and security controls.
- Protect credentials, keys, secrets, and tokens, and maintain appropriate administrative access controls.
- Comply with applicable laws, regulations, export controls, and Customer security policies.
- Use Cassian only for systems and operations Customer is authorized to manage.
5. Deployment Model
Cassian may be deployed into Customer-controlled Azure environments. Certain features depend on proper configuration of Azure, identity, networking, storage, database, ingress, certificates, and monitoring. Quantum Iryx Systems does not operate Customer’s Azure environment and does not guarantee outcomes that depend on Customer-controlled configuration.
6. Marketplace Billing, Entitlement, and License Enforcement
- Marketplace plans, entitlements, subscriptions, metering, renewals, and billing may be handled through Microsoft Azure Marketplace.
- Cassian may enforce plan limits, subscription status, licensed features, usage dimensions, and entitlement state.
- Customer must not circumvent, disable, or interfere with licensing, metering, or entitlement controls.
7. Support and Maintenance
- Support is provided through the Cassian Support page and channels published by Quantum Iryx Systems.
- Updates and patches may be provided through published release channels.
- Customer is responsible for applying updates unless a separate managed-service agreement states otherwise.
8. Restrictions
- No reverse engineering, decompilation, or disassembly except as expressly permitted by law.
- No unauthorized resale, sublicensing, or redistribution.
- No circumvention of licensing, metering, or entitlement controls.
- No unlawful or unauthorized use.
- No removal or alteration of proprietary notices.
- No use of Cassian to attack, compromise, or surveil systems, networks, or persons without proper authorization.
9. Confidentiality and Data Security
Each party will protect the other party’s confidential information using a reasonable standard of care. Customer is responsible for the security of its own environment, including identity, network, secrets, and access controls.
10. Compliance Disclaimer
Cassian is designed to support secure operations and compliance workflows. Cassian, by itself, does not guarantee any compliance, authorization, certification, or accreditation outcome, including FedRAMP authorization, FIPS validation, NIAP certification, CSfC listing, Common Criteria certification, RMF authorization, or any other framework. Customer remains solely responsible for its environment, configuration, controls, and compliance posture.
11. Warranties and Disclaimer
Except as expressly stated in a separate written agreement, Cassian is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Quantum Iryx Systems disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or data. Each party’s aggregate liability arising out of or related to these Terms will be limited as set forth in the applicable order or a separate written agreement. 13. Suspension and Termination
Quantum Iryx Systems may suspend or terminate access to Cassian for nonpayment, misuse, termination of the Marketplace subscription, violation of these Terms, or other material breach. Upon termination, Customer’s right to use Cassian ceases.
14. Export and Sanctions Compliance
Cassian is subject to applicable export control and sanctions laws. Customer agrees to comply with all such laws and not to use, transfer, or access Cassian in violation of them.
15. Governing Law
These Terms are governed by [Insert governing law after legal review], without regard to its conflict-of-law principles. Venue and dispute-resolution provisions will be specified following legal review.
16. Changes to These Terms
Quantum Iryx Systems may update these Terms from time to time. Updates will be reflected by the “Last updated” date above.
